Terms and Conditions

VENTURED BUSINESS HUB – SAAS TERMS & CONDITIONS

By creating an account, accessing, or using the Ventured Business Hub (“VBH”) software platform (powered by Go High Level), you agree to the following Terms & Conditions.

1. Definitions

VBH / We / Us – Ventured Business Hub ABN 80 283 792 832.

Platform – The VBH white-label software system built on Go High Level (GHL).

You / Client / Customer – The person or entity using the Platform.

Billing Period – The recurring monthly or annual subscription period tied to your account.

Rebilling / Usage Fees – Usage charges passed through from GHL to VBH and billed to you.

2. Nature of the Platform

2.1 The Platform is operated by VBH but powered by Go High Level, which controls the underlying system, functionality, feature availability, and infrastructure.

2.2 VBH does not control GHL’s pricing, system performance, outages, feature changes, usage fee updates, or model availability.
If GHL adjusts its pricing, these changes may be reflected in your usage charges.
You will receive 30 days’ written notice from VBH if a pricing increase is passed on.

2.3 Your subscription includes unlimited contacts and unlimited users, as provided by GHL.

3. Subscription Fees

3.1 You agree to pay the subscription fee displayed at the time of signup.
3.2 Fees are charged
monthly or annually from the date you join, depending on your chosen plan.
3.3 Fees are
not prorated under any circumstances.
3.4 Subscription fees are non-refundable once a billing period has commenced.

4. Rebilling of Usage Fees

4.1 The Platform includes usage-based features where GHL charges VBH per unit of use. VBH passes these charges on to you at the exact client-facing rate below.

4.2 Current Client-Facing Rebill Rates (Exact):

Charge to client: $0.001 per email

Phone System

Making Calls:

Charge to client: $0.0224/min

Receiving Calls:

Charge to client: $0.0136/min

Text Messages (SMS):

Charge to client: $0.0133 per segment

Content AI (Words & Images)

Words: $0.135 per 1,000 words

Images: $0.09 per image

Conversation & Voice AI

Messages: $0.03 per message

Voice calls: $0.195 per minute

WhatsApp Usage

Charge to client: $0.1036 per WhatsApp usage unit

Reviews AI

Charge to client: $0.013 per review response

Domain Purchases

Charge to client: $13 per domain

Funnel AI

Charge to client: $1.485 per FunnelAI action

LC Email Verification

Charge to client: $0.0026 per email verification

4.3 Rebilling Authorisation

You authorise VBH to charge your stored payment method automatically for all usage-based fees each month.

4.4 Pricing Changes from GHL

If GHL increases its underlying rates, the corresponding client-facing charges may increase.
VBH will provide 30 days’ written notice before any usage price increase takes effect.

5. Payment Terms

5.1 A valid payment method must remain on file.
5.2 Failed payments may result in immediate suspension.
5.3 VBH is not liable for outages caused by failed payments or declined cards.

6. Account Ownership & Data

6.1 You are responsible for all data added to your account, including contacts, campaigns, automations, images, files, and content.
6.2 You confirm compliance with the Australian Privacy Act and spam legislation.
6.3 VBH is not responsible for data loss caused by user actions, third-party outages, or GHL limitations.

7. Transfers & Portability

7.1 You may transfer your account to another GHL agency.
7.2 Transfers require
30 days’ written notice.
7.3 Your subscription and usage billing remain active until the end of the notice period.
7.4 VBH accepts no responsibility for data or connection losses during transfers.

8. Cancellation Policy

8.1 Cancellation requires 30 days’ written notice.
8.2 Subscription remains active and payable during the notice period.
8.3 Unused time is not refundable.
8.4 Any outstanding usage fees will be charged in full at the end of the billing cycle.

9. Software Performance & Limitations

9.1 Because the Platform runs on GHL and other providers (Twilio, OpenAI, LC, etc.), VBH cannot guarantee:

uninterrupted service

error-free functionality

uptime

feature continuity

data retention

9.2 You acknowledge these conditions and accept that third-party outages are outside VBH’s control.

10. Prohibited Use

You must not use the Platform for:

unlawful activity

sending unsolicited bulk messages

storing sensitive government, financial, or medical data

breaching privacy law

harmful or misleading content

VBH may suspend or terminate accounts for violations.

11. Changes to Pricing & Terms

11.1 VBH may update subscription fees, usage fees (if passed on from GHL), or these Terms.
11.2
You will receive 30 days’ notice of any subscription or usage price increase.
11.3 Continued use of the Platform constitutes acceptance of such changes.

12. Liability & Indemnity

12.1 To the maximum extent permitted by law, VBH is not liable for:

lost profits or revenue

downtime or outages

data loss

system bugs, errors, or performance issues

costs related to third-party providers

damages arising from your use of the Platform

12.2 You agree to indemnify VBH against claims arising from your usage of the Platform.

13. Governing Law

These Terms are governed by the laws of New South Wales, Australia.

14. Acceptance

By clicking “I agree” or accessing the Platform, you confirm that you:

accept these Terms in full

consent to automatic subscription and usage billing

understand that usage prices may change with 30 days’ notice
